Terms of Service

By creating an account or using the EuroMail API, you ("Customer", "you") agree to these Terms of Service.

1. Service Description

EuroMail provides a transactional email delivery service via REST API. The Service includes:

  • Email sending and delivery via SMTP
  • Domain management with DNS verification
  • Template management with variable substitution
  • Webhook delivery for email events
  • Suppression list management
  • Dashboard for account administration
  • SDKs for TypeScript/Node.js and Python

The Service is designed for transactional emails (e.g., order confirmations, password resets, account notifications). It is not intended for bulk marketing email or unsolicited communications.

2. Account Registration

To use the Service, you must:

  • Create an account with a valid email address
  • Be at least 18 years old or the age of legal majority in your jurisdiction
  • Provide accurate and complete registration information
  • Keep your account credentials and API keys secure

You are responsible for all activity under your account, including actions taken with your API keys.

3. Acceptable Use

3.1 You may use the Service to:

  • Send transactional emails to recipients who have an existing relationship with you
  • Send emails that recipients have explicitly opted in to receive
  • Send service-related notifications (account updates, security alerts, order status)

3.2 You may NOT use the Service to:

  • Send unsolicited bulk email (spam)
  • Send emails to purchased or scraped mailing lists
  • Send phishing, malware, or deceptive content
  • Send content that violates applicable laws (including GDPR, CAN-SPAM, CASL)
  • Attempt to circumvent rate limits or quotas
  • Share or resell API access without authorization
  • Send emails that impersonate another person or organization
  • Interfere with or disrupt the Service or its infrastructure
  • Use the Service for any illegal purpose

3.3 Content Standards

All email content sent through the Service must comply with:

  • EU General Data Protection Regulation (GDPR)
  • Finnish law
  • Applicable laws in the recipient's jurisdiction
  • Anti-spam legislation (CAN-SPAM, CASL, PECR, etc.)

We reserve the right to suspend or terminate accounts that violate these standards.

4. Plans and Billing

4.1 Plans

The Service offers four plans:

Each plan includes limits on domains, templates, and webhooks as described on the billing page.

4.2 Payment

  • Paid plans are billed monthly via Stripe
  • Payments are charged at the start of each billing period
  • All prices are in USD and exclude applicable taxes
  • You authorize us to charge your payment method on file

4.3 Plan Changes

  • Upgrades take effect immediately with prorated charges
  • Downgrades take effect at the end of the current billing period
  • Quota resets at the start of each billing cycle

4.4 Overages

If you exceed your plan's monthly email quota, additional emails will be rejected with a 429 status code until your quota resets or you upgrade your plan.

4.5 Refunds

  • We offer refunds for unused portions of the current billing period if you cancel within 14 days of a charge
  • No refunds for partial months or consumed email quotas
  • Contact [email protected] for refund requests

5. Service Level

5.1 Availability Target

We target 99.9% monthly uptime for the API (excluding scheduled maintenance). Uptime is measured as the percentage of time the GET /health endpoint returns a successful response.

5.2 Delivery

We make commercially reasonable efforts to deliver emails promptly. However, we cannot guarantee:

  • Delivery to every recipient (receiving servers may reject emails)
  • Delivery within a specific time frame
  • Inbox placement (vs. spam folder)

Email delivery depends on factors outside our control, including recipient server policies, your domain reputation, and email content.

5.3 Scheduled Maintenance

We will provide at least 48 hours' notice for planned maintenance that may affect availability, via email to the account address.

6. Data and Privacy

6.1 Your Data

You retain ownership of all data you send through the Service. We process your data solely to provide the Service, as described in our Privacy Policy.

6.2 Data Processing

For email content and recipient data, we act as a data processor under GDPR Article 28. Our Data Processing Agreement governs this processing relationship.

6.3 Data Residency

All data is stored and processed in the European Union (Finland). We do not transfer your data outside the EU/EEA, except to subprocessors covered by EU Standard Contractual Clauses (see our DPA).

6.4 Data Portability

You can export all your account data at any time via GET /v1/account/export. The export is in machine-readable JSON format.

6.5 Data Deletion

You can delete your account and all associated data via DELETE /v1/account or through the dashboard. Deletion is permanent and cannot be undone. Billing records are retained for 7 years per Finnish accounting law.

7. API Keys and Security

7.1 API Key Management

  • API keys are prefixed with em_live_ followed by 32 random characters
  • The full key is shown only once at creation; we store only a hashed version
  • You must keep your API keys confidential
  • Revoke compromised keys immediately via the dashboard

7.2 Webhook Security

Webhook payloads are signed with HMAC-SHA256. You should always verify signatures before processing webhook events. See the API documentation for verification details.

7.3 Breach Notification

If we become aware of a data breach affecting your account, we will notify you within 72 hours as required by GDPR Article 33.

8. Intellectual Property

8.1 Our IP

The Service, including its software, APIs, documentation, and branding, is owned by EuroMail. These Terms do not grant you any rights to our intellectual property beyond what is needed to use the Service.

8.2 Your IP

You retain all rights to your email content, templates, and data. By using the Service, you grant us a limited license to process your content solely for the purpose of providing the Service.

8.3 Feedback

If you provide suggestions or feedback about the Service, we may use it without obligation to you.

9. Limitation of Liability

9.1 Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

9.2 Limitation

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Our total liability for any claims arising from or related to the Service shall not exceed the fees paid by you in the 12 months preceding the claim
  • We are not liable for indirect, incidental, consequential, or punitive damages
  • We are not liable for lost profits, lost data, or business interruption

9.3 Exceptions

These limitations do not apply to:

  • Our obligations under applicable data protection law (GDPR)
  • Liability that cannot be excluded under applicable law
  • Willful misconduct or gross negligence

10. Suspension and Termination

10.1 By You

You may cancel your account at any time via the dashboard or by contacting [email protected]. Cancellation takes effect at the end of the current billing period for paid plans.

10.2 By Us

We may suspend or terminate your account if:

  • You violate these Terms or the Acceptable Use Policy
  • Your account is used for illegal activity
  • Your email sending causes damage to our infrastructure or reputation
  • You fail to pay outstanding invoices within 30 days
  • Required by law or court order

We will provide reasonable notice before suspension (except in cases of illegal activity or imminent harm) and an opportunity to export your data.

10.3 Effect of Termination

Upon termination:

  • Your access to the Service is revoked
  • Active API keys are deactivated
  • Data is retained for 30 days to allow export, then deleted
  • Billing records are retained per Finnish accounting law (7 years)

11. Changes to Terms

We may update these Terms. We will notify you via email at least 30 days before material changes take effect. Continued use of the Service after changes take effect constitutes acceptance.

If you do not agree to updated Terms, you may cancel your account before they take effect.

12. Governing Law and Disputes

These Terms are governed by the laws of Finland, without regard to conflict of laws principles.

Disputes shall be resolved in the courts of Helsinki, Finland. For EU consumers, this does not affect your right to bring proceedings in the courts of your member state of residence.

13. Miscellaneous

  • Entire Agreement: These Terms, together with the Privacy Policy and DPA, constitute the entire agreement between you and EuroMail.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Failure to enforce any provision does not constitute a waiver.
  • Assignment: You may not assign your account without our consent. We may assign our rights in connection with a merger or acquisition.
